Freemium Software as a Service (SaaS) License Agreement
- Introduction
- This Freemium Software as a Service License Agreement (“Agreement”) is a legal agreement between you (“User”) and EI-Group (“Provider”) for the use of EICORE (“Software”), a software as a service (SaaS) solution.
- Acceptance of Terms
- By creating an account, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms, do not access or use the Software.
- License Grant
- 3.1 Free Tier
- The Provider grants the User a non-exclusive, non-transferable, limited license to access and use the Software via the internet for personal or internal business purposes.
- The Free Tier includes basic features and functionalities as outlined on the Provider’s website.
- 3.2 Enterprise Solution
- For advanced features, enhanced performance, dedicated support, and access to the Backend Database, Users can contact the Provider to subscribe to the Enterprise Solution, subject to the payment of applicable fees and the terms of a separate Enterprise Agreement.
- 3.1 Free Tier
- Restrictions
- Users may not use the Software for any unlawful or prohibited activities.
- Ownership
- The Software is licensed, not sold. The Provider retains all rights, title, and interest in and to the Software, including all intellectual property rights.
- User Data and Privacy
- The data entered through the Software by the User belongs to the User. The Provider will not claim ownership of User data.
- Users can retrieve all data they have entered through the available APIs provided by the Provider.
- The Provider will process and protect User data in compliance with the General Data Protection Regulation (GDPR) and Danish privacy laws.
- The Provider may collect and use data related to the User’s use of the Software in accordance with the Provider’s Privacy Policy.
- Users agree to the collection and use of this data.
- Support and Updates
- The Provider may provide updates or modifications to the Software at its discretion.
- Free Tier users are not entitled to technical support, although limited support may be provided.
- Enterprise Solution users receive dedicated support as specified in their Enterprise Agreement.
- Backend Database Access
- Access to the Backend Database is provided exclusively to Enterprise Solution users as specified in their Enterprise Agreement.
- Enterprise users may access and retrieve their data from the Backend Database as outlined in the Enterprise Agreement.
- Termination
- This Agreement is effective until terminated.
- Users may terminate this Agreement by ceasing all access and use of the Software.
- The Provider may terminate this Agreement immediately if the User breaches any term of this Agreement.
- Upon termination, the User must cease all access and use of the Software.
- Disclaimer of Warranties
- The Software is provided “as is” without warranties of any kind, either express or implied.
- The Provider does not warrant that the Software will be error-free or uninterrupted.
- Limitation of Liability
- To the maximum extent permitted by law, the Provider is not liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software.
- The Provider’s total liability to the User for any damages shall not exceed the amount paid by the User for the Software.
- Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles.
- GDPR and Privacy Compliance
- The Provider shall process and protect User data in compliance with the General Data Protection Regulation (GDPR) and Danish privacy laws.
- The Provider’s Privacy Policy, which outlines the data collection, use, and protection practices, is incorporated by reference into this Agreement.
- Embedding in Third-Party Solutions
- Users are free to embed the Software into third-party solutions, provided they adhere to the same terms and conditions of this Agreement.
- Miscellaneous
- If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- This Agreement constitutes the entire agreement between the User and the Provider regarding the use of the Software and supersedes any prior agreements.
By using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. For Enterprise solutions, dedicated support, access to the Backend Database, and API data retrieval, please contact us at info@ei-group.dk.
